Sleep Out Saturday License Agreement

PLEASE READ THIS LICENSE AGREEMENT ("LICENSE") CAREFULLY BEFORE OPENING OR USING THE CD OR DOWNLOADING THE SLEEP OUT SATURDAY RESOURCES AND MATERIALS CONTAINED ON THE BRIDGE COMMUNITIES WEBSITE (COLLECTIVELY, THE "LICENSED MATERIALS"). BY OPENING THE CD OR DOWNLOADING THE LICENSED MATERIALS YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS LICENSE. IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE, YOU ARE NOT AUTHORIZED TO USE OR DOWNLOAD ANY OF THE LICENSED MATERIALS. FOR PURPOSES OF THIS LICENSE, THE TERM "YOU" MEANS ONLY AN ORGANIZATION OR INDIVIDUAL REGISTERED TO PARTICIPATE IN THE 2009 BRIDGE COMMUNITIES SLEEP OUT SATURDAY EVENT.

  1. Bridge grants you the non-exclusive right to use the Licensed Materials solely for the purpose of participating in the 2009 Bridge Communities sponsored Sleep Out Saturday event ("SOS Event"). The term "Licensed Materials" shall also include any permitted modifications and derivative materials made pursuant to the terms of this License.
  2. This License allows you to make copies and modifications to the Licensed Materials for the sole purpose of participating in the SOS Event. You are not entitled to disclose the Licensed Materials to any other entity or person or to assign or transfer the rights granted hereunder or authorize any other entities or organizations to use the Licensed Materials for any purpose, even if such other organizations are related to you. If other entities request permission to use the Licensed Materials (including modified or derivative forms thereof), you will direct such entity to contact Bridge. Bridge shall have no obligation to offer licenses to other entities. Any licenses granted by Bridge shall be subject to such terms and conditions as Bridge shall agree with the other party, at Bridge's sole discretion.
  3. You shall be entitled to modify the Licensed Materials, and make derivative works thereof, as appropriate for your needs for the SOS Event, for uses which are in compliance with this License. All copies of the Licensed Materials (including any modified versions or derivative works thereof) shall contain the following statement in a footnote or other visible location: "These materials were made available under license from Bridge Communities, Inc., a 501(c) (3) organization located in Glen Ellyn IL."
  4. Bridge is the owner of the registered service mark "Sleep Out Saturday", including the logo "SOS". This License includes the right to use the "Sleep Out Saturday" and the "SOS" logo, solely in connection with your participation in the SOS Event. The rights granted hereunder shall not affect in any way whatsoever the exclusive ownership by Bridge of said mark, nor shall the rights granted hereunder limit Bridge's use of the mark for any services rendered by Bridge or for any merchandise or products sold or distributed by Bridge.
  5. You may either download the Licensed Materials from the Bridge website or, if requested, Bridge will send you a CD containing the Licensed Materials. Bridge does not warrant the Licensed Materials in any way, except that if the CD provided is corrupt or defective in any way, Bridge will send a replacement CD.
  6. The rights granted hereunder do not include the right to any additional consultation or assistance.
  7. In no event will Bridge by liable for any loss or damage whatsoever arising out of your use or inability to use the Licensed Materials, even if Bridge is advised of the possibility of such loss or damage. You agree to indemnify Bridge against any loss or damage arising from any modifications to, or derivative works of, the Licensed Materials made by you.
  8. This License is effective until terminated. The License will automatically be terminated without notice from Bridge if you fail to comply with any of the terms of this License.
  9. You acknowledge and agrees that Bridge may suffer irreparable harm in the event that you uses or disclose the Licensed Materials in violation of the terms hereof. Accordingly, you agrees that Bridge shall be entitled to seek and obtain immediate injunctive relief to enforce the provisions hereof, in addition to any other remedies available at law. In the event that it is necessary for Bridge to file suit to enforce its rights hereunder, Bridge may recover, in addition to any further relief, reasonable attorney fees and court costs. Further, you consent to the jurisdiction any action filed by it to enforce the terms hereof, in the Circuit Court for the Eighteenth Judicial Circuit, DuPage County, Illinois.
  10. In the event that any one or more of the provisions contained herein shall for any reason be held to be unenforceable or illegal, such provision shall be severed, and the entire agreement shall not fail, but the balance of the agreement shall continue in full force and effect. In such event, the parties agree to negotiate in good faith a substitute enforceable and legal provision which most nearly effects the intent of the parties in entering into this agreement.
  11. This License constitutes the entire agreement between the parties with respect to the use of the Licensed Materials and supersedes all prior or contemporaneous understandings regarding such subject matter.
  12. No waiver, amendment or modification of any provision hereof shall be effective unless in writing and signed by Bridge. No failure or delay by either party in exercising any right, power or remedy hereunder shall operate as a waiver of any such right, power or remedy.
  13. This Agreement shall be governed by and interpreted in accordance with the laws of the State of Illinois, USA
